Public Relations Service Limitations and No Guarantee of Results

You acknowledge and understand that public relations and marketing services involve activities and outcomes that are largely beyond Pearl PR Group's direct control. By engaging our services, you expressly acknowledge that:

No Guarantee of Media Coverage or Results: Pearl PR Group makes no promise, warranty, or guarantee regarding media coverage, placement, publication, broadcast, or any specific outcomes from our public relations efforts. Media coverage decisions are made solely by independent third-party media outlets, journalists, editors, producers, and publishers over whom we have no control.

Third-Party Platform Dependencies: Social media management, digital PR, and online marketing efforts are subject to the terms, policies, algorithms, and operational changes of third-party platforms (including but not limited to Facebook, Instagram, Twitter, LinkedIn, TikTok, YouTube, Google, and other social media or digital platforms). Pearl PR Group cannot guarantee specific reach, engagement, visibility, or results on these platforms, as such outcomes are determined by factors beyond our control.

External Factors: Public relations outcomes may be influenced by numerous external factors including but not limited to: market conditions, news cycles, competitive landscape, algorithm changes, platform policy modifications, economic conditions, seasonal trends, and unforeseen events.

Best Efforts Standard: Pearl PR Group commits to providing professional services using industry best practices and reasonable efforts to achieve agreed-upon objectives. However, all services are provided on a "best efforts" basis rather than with any guarantee of specific results or outcomes.

Measurement and Reporting: While we may provide metrics, analytics, and reporting on our activities and their measurable impacts, these reports reflect available data and do not constitute guarantees of future performance or results.

Indemnification

The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in California, United States, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Assignment

You may not assign, resell, sub-license or otherwise transfer or delegate any of your rights or obligations hereunder, in whole or in part, without our prior written consent, which consent shall be at our own sole discretion and without obligation; any such assignment or transfer shall be null and void. We are free to assign any of our rights or obligations hereunder, in whole or in part, to any third party as part of the sale of all or substantially all of our assets or as part of a merger or reorganization of PRBM Group LLC.
